Terms and Conditions for RepDrill

Please read these Terms and Conditions ("Terms," "Terms and Conditions") carefully before using the repdrill.com website and the RepDrill software-as-a-service platform (collectively, the "Service") operated by Bishop Tech LLC ("us," "we," or "our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Definitions

  • "Service" refers to the repdrill.com website and all associated software, applications, APIs, and services provided by Bishop Tech LLC.
  • "User," "You," "Your" refers to the individual or entity that has registered for an account or is accessing or using the Service.
  • "Content" means any data, text, information, graphics, or other materials that you submit, post, or display on or via the Service.
  • "API Tokens" refer to the consumable digital tokens purchased by You to access and use specific functionalities of the Service's API. These function as a form of "gas" or "credits" that are depleted upon use.

2. Accounts

When you create an account with us, you guarantee that you are above the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. Payments, API Tokens, and No Refund Policy

a. General Payment

You agree to pay all applicable fees for the Service as specified on our pricing page or in a separate agreement. All fees are due in advance and are non-cancellable and non-refundable except as required by law.

b. API Tokens (Consumables)

The Service may require the purchase of API Tokens to use certain features. You acknowledge and agree that:

  • API Tokens are a consumable good, analogous to "gas" or "credits," which are depleted upon use.
  • All purchases of API Tokens are final, non-cancellable, and non-refundable.
  • Once purchased, API Tokens cannot be redeemed for cash or any other monetary value, nor can they be transferred to another account.

c. Service Fees

Fees paid for subscriptions, access, support, or any other service or time rendered by Bishop Tech LLC are non-refundable. You are paying for access to the Service or for time spent, regardless of whether you use the Service or are satisfied with it.

d. Chargebacks

You explicitly agree to waive your right to initiate a chargeback on any payment made to Bishop Tech LLC. If You initiate a chargeback or dispute a payment, it will be considered a material breach of these Terms. We reserve the right to:

  • Immediately suspend and/or terminate your account.
  • Dispute the chargeback to the fullest extent permitted by law.
  • Invoice You for any fees, penalties, or costs incurred by us as a result of the chargeback, including but not limited to bank fees, dispute resolution fees, and administrative costs.
  • Pursue legal action or collections to recover the disputed amount and all associated costs.

4. Data Security and Deletion

a. Data Security

We implement commercially reasonable technical and organizational measures to secure your Content. Our platform utilizes Supabase and its integrated Row Level Security (RLS) features to ensure that your Content is isolated and not accessible by other users.

b. Account Deletion

You may request the deletion of your account at any time. Upon receiving a valid deletion request, we will take commercially reasonable steps to delete your Content and personal information from our active production databases.

c. Third-Party Data Handling (Supabase)

You acknowledge that the Service is built upon third-party infrastructure, including Supabase. While we will execute deletion commands to remove your data from our direct access and active databases, we do not have control over, and are not responsible for, the data retention, backup, or deletion policies of Supabase or any other third-party provider. Your data may persist in encrypted backups, logs, or archives maintained by these providers for a period in accordance with their own data retention policies. We disclaim all liability for any data that remains in such third-party systems after your account deletion.

5. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Bishop Tech LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bishop Tech LLC.

You retain all rights to any Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, and display such Content solely for the purpose of operating, providing, and improving the Service.

6. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may do so by following the instructions within the Service or by contacting us.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and the "No Refund Policy" and "Chargebacks" sections.

7. Indemnification

You agree to defend, indemnify, and hold harmless Bishop Tech LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BISHOP TECH LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  • ANY CONTENT OBTAINED FROM THE SERVICE; AND
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL AGGREGATE LIABILITY IN ANY MATTER ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AGGREGATE AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE SIX (6) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Disclaimer of Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

BISHOP TECH LLC, ITS SUBSIDIARIES, AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT:

  • THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
  • ANY ERRORS OR DEFECTS WILL BE CORRECTED;
  • THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
  • THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
